Contract Audit Checklist
8 steps to audit your contract portfolio, identify risks, and stop money from slipping through the cracks.
Inventory every active contract
List every agreement your business has. Include vendor name, contract type, start date, end date, and annual value. Most businesses discover 20-30% more contracts than they thought they had.
Create a master list in a spreadsheet or document.
Locate the original documents
Where is each contract stored? Filing cabinets, email threads, shared drives, someone's desktop? If you can't find the document, you can't verify the terms.
Gather all contracts into one central location.
Review critical dates
Which contracts expire in the next 90 days? 180 days? 365 days? Flag anything coming up soon. These are your highest-priority items.
Sort by renewal/expiration date, nearest first.
Check for auto-renewal clauses
Auto-renewal clauses silently lock you into another term if you miss the cancellation window. Many have 60 or 90-day notice requirements buried deep in the fine print.
Mark every contract that auto-renews and note the cancellation notice period.
Identify financial risks
Look for rate escalation clauses (price goes up every year), early termination penalties, unlimited liability exposure, and missing data protection clauses.
Rate each contract Low / Medium / High risk.
Assign ownership
Every contract needs an owner — someone responsible for monitoring it, reviewing terms before renewal, and making the renew/cancel decision.
Assign a name to each contract in your master list.
Set up renewal reminders
Create calendar reminders at 90, 60, and 30 days before each renewal date. This gives you enough time to review, negotiate, or cancel.
Add reminders to your calendar for every contract with a renewal date.
Centralize and monitor
Move all contracts into one system where you can search, filter, and get alerts. A spreadsheet works for 5-10 contracts. Beyond that, you need a purpose-built tool.
Choose a system and migrate all contracts into it.
Skip the manual audit.
Upload a contract to Renewal Pilot and get all 8 steps done automatically. AI reads the document, extracts every date and clause, assigns a risk score, and starts monitoring deadlines.
